Legal Counsel - Yokogawa

- Dusseldorf / Ratingen region, also a German speaking lawyer based in The Netherlands (travel distance from Amersfoort) is an option.

- We are looking for a Legal Counsel, in Germany, fluency in German language is a hard requirement. Please see the job description attached.

Extra informatie:

- The function requires German language skills, as the lawyer would be primarily dealing with German speaking countries, but also English should be fluent, as other countries in Europe may be served as well. The function requires review, drafting and negotiating of customer and supplier contracts, both in German and English.

The reason is neither expansion, nor reorganization. We have an employee that is on long-term sick-leave and it is unclear when the employee will return to work. The team currently consists of 5 lawyers (including myself) and one paralegal.

Your new role
As Legal Counsel you will:
• Handle customer and/or supplier claims;
• Draft, review and implement standard terms and conditions;
• Draft, review and implement standard types of agreements;
• Draft, review and negotiate cross border contracts throughout the European
territory in a variety of areas (distribution, supply, purchasing, licensing, services,
employment, loans etc.), as well as corporate documents (governance, minutes
meetings of board and shareholders, resolutions)
• Act as a legal project manager in supra-regional contract negotiations;
• Advise all relevant departments regarding application and interpretation of Terms
& Conditions;
• Advise customers and/or suppliers on interpretation of contractual conditions;
• Advise management on disputes and resolution scenarios;
• Conduct investigations in connection with (possible) legal issues
• Manage and support legal proceedings (as plaintiff as well as defendant)
• Conduct analysis of new laws and regulations;
• Select and attend appropriate seminars;
• Review legal sources for new laws and regulations;
• Advice management on steps to be taken to reach compliance;
• Draft and implement compliance policies;
• Potentially manage fellow lawyers;

What you’ll need to succeed
• Academic level (law degree) with 6-8 years working experience.
experience in a variety of industries (B-to-B) and jurisdictions (experience in
different jurisdictions can be gained at one employer). Experience can be gained
in a law firm, but recent experience must be in-house.
• Generalist (commercial law, corporate law, employment law, M&A, IP).
• Experience with cross border issues.
• Experience in positioning in-house legal discipline.
• Experience as member of management team and/or in boardroom. Independent
advisor and sparring partner to Senior Management
• Clear communicator, team worker with independent spirit.
• Ability to apply a holistic approach, able to identify interfaces with (or involvement
of) other disciplines such as finance, tax, insurance, intellectual property, human
resources.
• Patient with clear eye on required business results.
• Assess and mitigate risks of Yokogawa organizations in the European territory
relating to their business activities. Looking for practical solutions.
• Strong negotiation skills.
• Fluent in spoken as well as written English and German; knowledge of another
European language is considered a plus.
